Consulting Engagements. Any consulting services we provide are governed by a separate written agreement between you and the Company. Nothing on the Site constitutes an offer to perform services, and no consulting relationship is created by your use of the Site or by your submission of an inquiry. In the event of a conflict between these Terms and a signed consulting agreement, the signed agreement will control with respect to the services it covers.

5. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

13. Governing Law and Dispute Resolution

Governing Law. These Terms and any dispute arising out of or relating to them or your use of the Site are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles.

Informal Resolution and Mediation. Before initiating any legal action, the parties agree to first attempt to resolve any dispute informally by contacting one another. If the dispute is not resolved within thirty (30) days, the parties agree to attempt in good faith to resolve the dispute through confidential, non-binding mediation administered by a mutually agreed-upon mediator, with the costs of mediation shared equally.

Litigation. If a dispute is not resolved through mediation, it will be resolved exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of and venue in such courts. This section does not prevent either party from seeking injunctive or equitable relief at any time to protect its rights.

14. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to all or part of the Site at any time, with or without notice, for any reason, including for any violation of these Terms. The provisions of these Terms that by their nature should survive termination—including intellectual property rights, disclaimers, limitation of liability, indemnification, and governing law—will survive any termination.

15. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any separate written agreement governing our consulting services, constitute the entire agreement between you and the Company regarding your use of the Site and supersede any prior agreements on that subject.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
